  • Consulting deliverables created specifically for a client become the property of the client upon full payment

We agree to:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VIBE CODING CLASSES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
  • ANY CONTENT OBTAINED FROM THE SERVICES
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

10.3 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ANY DAMAGES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICES DURING THE THREE (3) MONTHS PRIOR TO THE CLAIM.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Vibe Coding Classes and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your violation of these Terms.

12. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through our website or by other means. Your continued use of the Services after such notice constitutes your acceptance of the modified Terms.

13. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of Brazil, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or our Services shall be resolved through:

  2. Mediation in São Paulo, Brazil, with a mutually agreed mediator
  3. If mediation fails, through the courts of São Paulo, Brazil

These Terms constitute the entire agreement between you and Vibe Coding Classes regarding our Services.

14.2 Severability

If any provision of these Terms is found to be unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions shall remain in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

14.4 Assignment

You may not assign any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
